Terms and Conditions of Sale

These Terms and Conditions (“Terms”) govern your access to and use of the Oath Research website and your purchase of peptides, research compounds, laboratory materials, and other products offered by Oath Research (“Oath Research,” “we,” “us,” or “our”).

By accessing our website, creating an account, placing an order, completing checkout, or purchasing any Product from Oath Research, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

You also expressly acknowledge and agree to our Returns & Refunds Policy, Waiver Agreement, and Privacy Policy, each of which is incorporated into these Terms by reference.

If you do not agree to these Terms or any incorporated policy, you must not place an order or purchase Products from Oath Research.

1. Intended Use and Purchaser Qualifications

All peptides, compounds, and other research materials offered by Oath Research (“Products”) are sold strictly for laboratory, analytical, and research purposes only.

Products are not intended for:

• human consumption;
• animal consumption;
• diagnostic use;
• therapeutic or medical use;
• treatment, cure, mitigation, or prevention of disease;
• use as a drug, food, cosmetic, dietary supplement, or household product; or
• any other purpose inconsistent with their stated research use.

By purchasing Products from Oath Research, you represent and warrant that:

• you are at least 21 years of age;
• you possess sufficient knowledge, training, facilities, and equipment to safely handle the Products purchased;
• you understand the characteristics and potential hazards associated with research chemicals;
• your purchase and intended use are lawful in your jurisdiction; and
• you will use the Products only for legitimate laboratory, analytical, or research purposes.

You are solely responsible for determining whether the purchase, possession, storage, handling, transportation, transfer, and use of any Product is permitted under all laws and regulations applicable to you.

2. Acceptance of Related Policies

By placing an order with Oath Research, you expressly acknowledge that you have read, understood, and agree to the following policies:

• Waiver Agreement
• Privacy Policy

These documents form part of the agreement between you and Oath Research and are incorporated into these Terms by reference.

Where a specific matter is addressed in a separate policy, that policy will apply together with these Terms.

By submitting your order, checking any acceptance box presented during checkout, or completing payment, you provide your electronic acceptance of these documents.

3. Waiver, Assumption of Risk, and Indemnification

Your purchase of any Product is subject to the Oath Research Waiver Agreement.

You acknowledge that research compounds may have properties, risks, interactions, or hazards that are not fully characterized.

You voluntarily assume responsibility for all risks associated with the purchase, possession, transportation, storage, handling, transfer, and use of Products.

To the fullest extent permitted by applicable law, you agree to release, defend, indemnify, and hold harmless Oath Research and its owners, officers, employees, contractors, agents, suppliers, affiliates, and representatives from claims, liabilities, damages, expenses, losses, and reasonable legal fees arising from or relating to:

• your possession, handling, storage, or use of Products;
• misuse of a Product;
• use of a Product outside its stated research purpose;
• personal injury or property damage;
• violation of applicable law;
• transfer or resale of Products to another party; or
• your breach of these Terms or the Waiver Agreement.

The complete terms of this obligation are set forth in our Waiver Agreement, which you accept when placing an order.

4. Product Handling and Safety

You acknowledge that Products sold by Oath Research may have hazardous or incompletely characterized properties.

You are responsible for implementing appropriate laboratory controls, including appropriate:

• handling procedures;
• storage conditions;
• personal protective equipment;
• workplace safety procedures;
• contamination controls; and
• disposal procedures.

Products should only be handled by persons appropriately qualified to work with research chemicals.

Oath Research is not responsible for loss, contamination, degradation, injury, or damage resulting from improper handling, misuse, improper storage, negligence, unauthorized use, or use inconsistent with the Product’s intended research purpose.

5. Product Information and Research Materials

We make reasonable efforts to provide accurate Product descriptions, specifications, quantities, analytical information, photographs, Certificates of Analysis, and other information.

However, website content is provided for informational and research purposes and may be updated from time to time.

Product photographs are illustrative and packaging, labeling, color, presentation, or appearance may vary between batches.

Unless specifically stated otherwise, references to scientific studies, compounds, mechanisms, or research findings are provided for informational purposes only and are not medical advice or representations regarding the suitability of a Product for human use.

6. Orders

Orders may be submitted through our website by selecting Products, quantities, shipping options, and an available payment method.

By placing an order, you confirm that:

• the information you provide is accurate;
• you are authorized to use the selected payment method;
• you meet all purchaser qualifications described in these Terms; and
• your purchase complies with applicable law.

All orders are subject to acceptance by Oath Research.

An automated order confirmation confirms receipt of your order but does not constitute final acceptance.

We may reject, limit, hold, or cancel an order where reasonably necessary, including because of:

• Product unavailability;
• pricing or Product-information errors;
• suspected fraud;
• payment problems;
• misuse of promotions or store credit;
• shipping restrictions;
• legal or regulatory concerns; or
• violation of these Terms.

If we cancel an order after collecting payment and no Products have been supplied, the applicable amount will be refunded in accordance with our Returns & Refunds Policy.

7. Pricing and Payment

Payment must generally be received before an order is shipped.

Prices, promotions, discounts, and Product availability may change without notice.

A price change will not ordinarily affect an order that we have already accepted.

Available payment methods may include:

• credit or debit cards;
• bank payment methods;
• cryptocurrency; and
• other payment options displayed at checkout.

Payment methods may vary depending on the customer’s location, order, currency, or payment provider.

By submitting payment, you authorize Oath Research and its applicable payment service providers to process the transaction.

Payment information may be processed by third-party payment providers and is subject to their applicable terms and privacy practices.

8. Shipping and Delivery

Shipping options, available fulfillment locations, delivery estimates, and charges are displayed where applicable during checkout.

Certain Products may be fulfilled from different inventory locations depending on availability and the customer’s shipping destination.

Estimated shipping or delivery periods are estimates rather than guarantees unless expressly stated otherwise.

Once an order has been transferred to a shipping carrier, transportation is subject to carrier operations, customs procedures where applicable, weather, holidays, service interruptions, and other circumstances outside our direct control.

Tracking information may be provided when available.

Customers are responsible for providing a complete and accurate shipping address.

Oath Research is not responsible for delivery problems resulting from inaccurate or incomplete information supplied by the customer.

If a shipment appears lost, damaged, substantially delayed, or incorrectly delivered, please contact Oath Research Support so that we can review the matter under our Returns & Refunds Policy.

Brand Substitution and Fulfillment Availability

Product availability may vary between Oath Research fulfillment locations.

Where a specific brand, packaging configuration, or branded version of a Product is temporarily unavailable, Oath Research may substitute the Product with an equivalent generic version or the same Product offered under another Oath Research sister brand, provided that the substitute contains the same research compound, same labeled strength (for example, 10mg), and substantially equivalent specifications.

Such substitutions may be made without prior notice where there is no material difference in the compound, labeled strength, or quantity ordered. Packaging, vial design, labeling, or brand name may differ from the Product originally displayed or ordered.

In rare circumstances, when inventory is unavailable at the domestic or local fulfillment location, Oath Research may split an order and fulfill part or all of it from one of our global warehouses. A split shipment may result in multiple packages, separate tracking numbers, different carriers, and different delivery dates.

Fulfillment from a global warehouse does not change the quantity or research compound ordered. Delivery times may be longer than those applicable to domestic inventory due to international transit, carrier processing, customs procedures, or other circumstances outside our direct control.

By placing an order, you acknowledge and agree that reasonable brand substitution and split fulfillment may occur when necessary to complete your order.

9. Returns, Refunds, Replacements, and Order Issues

All requests for returns, refunds, replacements, credits, damaged-product claims, incorrect-product claims, lost-shipment claims, and similar order issues are governed by our separate Returns & Refunds Policy.

By placing an order, you expressly acknowledge and accept that policy.

Products generally must remain unopened, unused, unaltered, and properly handled to qualify for a return unless the request relates to a verified defect, shipping damage, incorrect shipment, or another circumstance specifically covered by the Returns & Refunds Policy.

Any communication indicating that a Product was purchased, used, or intended for human or animal consumption or another prohibited purpose may render the Product ineligible for return or refund.

All returns requiring physical shipment to us must receive authorization before being sent.

Refunds will generally be made to the original payment method where technically possible.

Additional rules may apply to cryptocurrency refunds, store credits, shipping charges, damaged orders, and carrier-related claims as described in the Returns & Refunds Policy.

10. Store Credit

Oath Research may issue store credit in connection with refunds, promotions, shipping issues, customer-service resolutions, or other circumstances.

Store credit may include:

Refund Credit — credit issued in connection with a refund or customer-service resolution.

Promotional Credit — complimentary credit provided as a promotion, marketing incentive, or goodwill benefit.

Unless otherwise expressly stated:

• store credit may only be used for eligible purchases on Oath Research;
• store credit has no cash value;
• store credit may not be transferred between customers or accounts;
• store credit cannot be sold or exchanged for cash;
• store credit cannot normally be applied retroactively to previous purchases; and
• store credit is subject to fraud and abuse review.

Refund Credit does not expire unless otherwise disclosed at issuance.

Promotional Credit expires one year after issuance unless a different expiration period is disclosed.

We may suspend, reverse, reduce, or void store credit where we reasonably determine that it resulted from:

• fraud;
• promotion abuse;
• duplicate or linked accounts;
• aliased accounts intended to obtain additional promotional benefits;
• technical error;
• incorrect credit issuance;
• chargeback or payment reversal;
• canceled or refunded orders; or
• violation of these Terms.

Where improperly issued credit has already been redeemed, we may recover its value to the extent permitted by law.

11. Promotions

Oath Research may offer promotions, discount codes, complimentary Products, free shipping, free research materials, loyalty benefits, or other promotional offers.

Each promotion may have additional eligibility requirements, expiration dates, Product restrictions, quantity limits, or other conditions.

Unless expressly stated otherwise, promotions:

• cannot be exchanged for cash;
• may not be combined;
• may be limited to one per customer, household, identity, or order;
• may be changed or discontinued; and
• may be canceled where fraud or abuse is reasonably suspected.

Creating multiple accounts, using email aliases, misrepresenting identity, or otherwise attempting to circumvent promotional limitations is prohibited.

12. Free Research Materials

Oath Research may occasionally include complimentary laboratory or research materials with qualifying orders.

Complimentary items may be automatically added to an eligible cart or shipment and have no separate cash value.

Availability is not guaranteed and promotional items may change or be discontinued.

13. Privacy

Our collection, processing, storage, disclosure, and protection of personal information are governed by our Privacy Policy.

By accessing our website, creating an account, submitting information, or placing an order, you acknowledge that you have reviewed the Privacy Policy.

Where consent is legally required for a particular processing activity, we will request that consent separately where appropriate.

14. Marketing Communications

Email

You may voluntarily subscribe to promotional email communications from Oath Research, including Product announcements, restocks, educational content, discounts, and other offers.

You may unsubscribe using the unsubscribe mechanism included in promotional emails.

Unsubscribing from promotional messages does not prevent us from sending transactional or service-related communications concerning your orders, account, security, or customer-service requests.

SMS

Where available, you may voluntarily opt in to SMS communications.

Messages may include:

• order notifications;
• shipping updates;
• abandoned-cart reminders;
• customer-service messages; and
• promotional offers.

Consent to promotional SMS messages is not a condition of purchase.

Message frequency may vary.

You may opt out by replying STOP to an applicable SMS message. Where supported, you may reply HELP for assistance.

15. Prohibited Conduct

You may not use the Oath Research website, Products, accounts, promotions, payment systems, or services:

• unlawfully;
• fraudulently;
• to obtain Products for prohibited human or animal use;
• to misrepresent your identity or eligibility;
• to abuse promotional or store-credit programs;
• to interfere with the website or its security;
• to infringe intellectual-property rights; or
• in a manner inconsistent with these Terms.

We may suspend or terminate accounts, cancel orders, restrict purchases, or take other reasonable action where these Terms are violated.

16. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Products and website content are provided “as is” and “as available.”

Oath Research disclaims warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such warranties cannot legally be excluded.

Oath Research does not warrant that a Product is suitable for any particular experiment, research protocol, application, or outcome.

Scientific, educational, or informational material appearing on our website does not constitute medical advice.

17. Limitation of Liability

To the fullest extent permitted by applicable law, Oath Research and its owners, employees, contractors, agents, affiliates, suppliers, and representatives will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from or related to:

• Products;
• use or inability to use Products;
• handling or storage of Products;
• use of our website;
• shipping or delivery;
• unauthorized or prohibited Product use; or
• reliance on website information.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

The additional release, indemnification, and assumption-of-risk provisions contained in the Waiver Agreement also apply to every Product purchase.

is owned by or licensed to Oath Research and is protected by applicable intellectual-property laws.

You may not reproduce, distribute, publish, commercially exploit, or create derivative works from protected Oath Research content without prior authorization, except where permitted by law.

19. Chargebacks and Payment Disputes

If you believe there is an issue with an order, we encourage you to contact Oath Research before initiating a chargeback or payment dispute so we can attempt to resolve the matter.

Fraudulent, abusive, or duplicate chargebacks may result in account restrictions and recovery of amounts lawfully owed.

Nothing in this provision prevents you from exercising legitimate rights provided by your payment provider or applicable law.

20. Governing Law

These Terms and disputes arising from or relating to these Terms, Products, orders, or use of the Oath Research website will be governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws principles, except where applicable law requires otherwise.

21. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent legally permitted, and the remaining provisions will continue in full force and effect.

22. No Waiver

Our failure to enforce any provision of these Terms on one occasion does not waive our right to enforce that provision or any other provision in the future.

23. Changes to These Terms

Oath Research may modify these Terms periodically.

When material changes are made, the revised version will be published on our website with an updated effective date.

The version in effect when an order is placed will generally govern that transaction unless applicable law requires otherwise.

Continued use of our website after revised Terms become effective constitutes acceptance of the revised Terms where permitted by law.
